THE WHITE RIBBON — TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of The White Ribbon website, customer accounts, products, collections, personalization services, relationship-marketing services, software features, integrations, and related services (collectively, the “Services”).

The White Ribbon is operated by Hite Elite Inc., doing business as The White Ribbon (“The White Ribbon,” “Company,” “we,” “us,” or “our”).

By accessing our website, creating an account, uploading information, placing an order, purchasing a collection, importing contacts, or otherwise using our Services, you agree to these Terms.

If you do not agree to these Terms, you should not use the Services.

1. THE WHITE RIBBON SERVICES

The White Ribbon provides curated relationship-marketing products and services designed to help professionals create meaningful connections with leads, clients, referral partners, past clients, and other recipients.

Our Services may include physical collections, personalized printed materials, branded materials, candles, soaps, promotional items, client-appreciation materials, educational materials, cards, packaging, fulfillment, shipping, customer profiles, saved recipient information, contact imports, CRM-related functionality, scheduled sends, recurring services, and other marketing products or services.

The availability and contents of collections may change from time to time.

2. PROFESSIONAL MARKETING SERVICE

The White Ribbon collections are intended to function as relationship-marketing and client-appreciation products.

We do not guarantee that use of our Services will result in leads, listings, sales, referrals, closings, increased revenue, client retention, or any other particular business outcome.

Customers remain solely responsible for their professional activities and relationships with their own clients and prospects.

3. ACCOUNTS

Certain Services may require creation of a customer account.

You are responsible for maintaining the confidentiality and security of your login credentials and for all authorized activity occurring through your account.

You agree to provide accurate, complete, and current information.

You may not impersonate another person or business, access another user's account without authorization, or use the Services for fraudulent, unlawful, misleading, abusive, or unauthorized purposes.

4. CUSTOMER AND RECIPIENT INFORMATION

Our Services may allow customers to enter, upload, import, store, or otherwise provide information regarding their clients, prospects, leads, referral partners, or other recipients.

Such information may include names, mailing addresses, email addresses, telephone numbers, transaction-related information, important dates, tags, notes, and other information necessary to provide the Services.

You represent and warrant that you have the lawful right and authority to provide such information to The White Ribbon and to instruct us to process it for the requested purpose.

You are responsible for complying with applicable privacy, marketing, communications, professional, and data-protection laws governing information you provide to us.

5. CRM AND CONTACT IMPORTS

The White Ribbon may offer contact imports, CSV uploads, spreadsheet imports, CRM integrations, address books, saved contacts, or similar functionality.

Customers are responsible for verifying imported information.

We do not guarantee that imported information will be complete, current, duplicate-free, or error-free.

Before approving any shipment, customers are responsible for confirming recipient names, addresses, personalization, collection selection, and other order information.

6. RECIPIENT DATA

Recipient information submitted by customers is processed for purposes related to providing the Services, including personalization, production, fulfillment, delivery, customer support, fraud prevention, service improvement, and other purposes described in our Privacy Policy.

The White Ribbon does not claim ownership of a customer's client database merely because that information is uploaded to our Services.

Customer and recipient information will be handled in accordance with our Privacy Policy and applicable law.

7. CUSTOMER BRANDING AND MATERIALS

Customers may be permitted to provide:

  • Logos
  • Headshots
  • Business cards
  • Names and professional titles
  • Brokerage or company information
  • Photographs
  • Signatures
  • Websites
  • Contact information
  • Brand colors
  • Marketing copy
  • Other intellectual property or materials

You retain ownership of materials you lawfully own.

By submitting materials to us, you grant The White Ribbon a non-exclusive, worldwide, royalty-free license to reproduce, resize, format, print, display, transmit, modify as technically necessary, and otherwise use those materials solely as reasonably necessary to provide, produce, personalize, fulfill, support, demonstrate previews for, or deliver the Services you request.

You represent that you possess all necessary rights and permissions for materials you submit.

8. THIRD-PARTY LOGOS AND TRADEMARKS

Customers are solely responsible for obtaining any necessary authorization to reproduce brokerage logos, company trademarks, team branding, photographs, copyrighted materials, or other third-party intellectual property.

The White Ribbon may refuse to reproduce material that we reasonably believe may infringe another party's rights.

9. THE WHITE RIBBON INTELLECTUAL PROPERTY

Except for customer-provided materials and third-party intellectual property, all rights in The White Ribbon brand and original materials remain owned by Hite Elite Inc. or its licensors.

This includes, as applicable:

The White Ribbon name, WR branding, logos, original designs, packaging concepts, website content, written copy, graphics, templates, collection names, layouts, photographs owned by us, educational materials, proprietary workflows, software interfaces, and other original creative materials.

Nothing in a customer's purchase transfers ownership of The White Ribbon's intellectual property.

10. PROHIBITED COPYING AND COMMERCIAL USE

Customers may use personalized materials they purchase for their intended professional marketing purposes.

Unless we expressly authorize it in writing, customers may not reproduce, resell, sublicense, distribute as templates, commercially exploit, reverse engineer, or create substantially copied commercial products from proprietary The White Ribbon materials.

Nothing in these Terms restricts rights that cannot lawfully be restricted, including applicable fair-use rights.

11. ORDERS AND ACCEPTANCE

Submitting an order does not necessarily constitute final acceptance by The White Ribbon.

We reserve the right to reject, cancel, limit, or request clarification regarding an order where reasonably necessary, including because of suspected fraud, incorrect pricing, inventory limitations, technical errors, prohibited content, intellectual-property concerns, fulfillment limitations, or violations of these Terms.

If we cancel a paid order before fulfillment, we will provide any refund required under our published policies or applicable law.

12. PERSONALIZED AND CUSTOM PRODUCTS

Many White Ribbon products are customized specifically for the ordering customer or individual recipient.

Customers are responsible for reviewing all names, addresses, dates, photographs, logos, spelling, contact information, personalization, and other submitted information before approving an order.

Once customization, printing, production, assembly, or fulfillment begins, changes or cancellations may not be possible.

Customized and personalized products are subject to our Return & Refund Policy.

13. PRODUCT VARIATIONS

Many products may be produced, assembled, printed, or fulfilled by hand or through multiple suppliers.

Minor differences may occur in colors, printing, materials, dimensions, texture, packaging, ribbon, candles, soaps, accessories, and other components.

Computer and mobile displays may also represent colors differently.

Reasonable variations are not necessarily defects.

14. PRODUCT SUBSTITUTIONS

If a component becomes unavailable, discontinued, delayed, damaged, unsafe, or otherwise impractical to provide, we may substitute an item of reasonably comparable function, quality, style, or value where appropriate.

Material substitutions that significantly alter a collection may be communicated when reasonably practicable.

15. CANDLES, SOAPS, AND CONSUMER PRODUCTS

Certain collections may contain candles, soaps, fragrance products, decorative products, or other consumer goods.

Recipients should follow all labels, warnings, ingredients, safety instructions, and manufacturer instructions accompanying these products.

Individuals with allergies, sensitivities, medical concerns, pets, or children should exercise appropriate caution.

Candles should never be left burning unattended.

Unless expressly stated otherwise, decorative or personal-care items are not food and should not be consumed.

16. PRICING

Prices are displayed in U.S. dollars unless otherwise stated.

We may change pricing at any time before an order is submitted.

Prices may exclude applicable taxes, shipping, expedited fulfillment, customization charges, bulk-processing charges, or other disclosed fees.

Obvious typographical or technical pricing errors may be corrected as permitted by law.

17. PAYMENT

Payment must be made using an accepted payment method.

You authorize us and our payment processors to charge amounts associated with your order, including applicable taxes, shipping, and authorized additional charges.

You represent that you are authorized to use the payment method provided.

18. SHIPPING AND DELIVERY

Customers are responsible for providing complete and accurate recipient shipping information.

Shipping and delivery dates are estimates unless expressly guaranteed in writing.

The White Ribbon is not responsible for delays outside our reasonable control, including carrier delays, weather, natural disasters, incorrect addresses, recipient unavailability, supply-chain disruptions, governmental actions, or similar circumstances.

Our separate Shipping Policy forms part of these Terms.

19. MULTIPLE-RECIPIENT ORDERS

Customers may be permitted to purchase collections for multiple recipients through one transaction.

Each recipient shipment may be separately processed, produced, shipped, tracked, or delivered.

Customers remain responsible for verifying each recipient's information.

20. SCHEDULED ORDERS

Where available, customers may schedule collections for future processing or delivery.

Customers are responsible for maintaining accurate recipient information before the applicable processing deadline.

Scheduled dates may represent intended processing or delivery windows rather than guaranteed delivery dates unless expressly stated otherwise.

21. AUTOMATED OR RECURRING SENDS

If we later offer automated or recurring collection services, customers must expressly activate such functionality.

The applicable price, frequency, cancellation process, and additional terms will be disclosed before activation.

Customers are responsible for maintaining accurate recipient information and payment information.

No recurring program will override cancellation rights required by applicable law.

22. REFUNDS, RETURNS AND CANCELLATIONS

Returns, refunds, replacements, and cancellations are governed by our Return & Refund Policy.

Because personalized products may be unusable for another customer, personalized or customized products generally cannot be returned merely because the customer changes their mind once production has begun, except where otherwise required by law or provided by our policy.

23. THIRD-PARTY SERVICES

The Services may rely on third parties, including Shopify, payment processors, printing companies, fulfillment providers, manufacturers, shipping carriers, CRM providers, software applications, hosting providers, and other vendors.

Some third-party services have their own terms and privacy practices.

We are not responsible for third-party services to the extent permitted by applicable law.

Shopify likewise explains that merchants remain responsible for their store, goods and services, fulfillment, customer service and legal compliance.

24. PROHIBITED USE

You may not use the Services to:

  • Violate applicable law;
  • Commit fraud;
  • Infringe intellectual-property rights;
  • Upload malicious software;
  • Attempt unauthorized access;
  • Harass or harm others;
  • Submit information you have no lawful right to use;
  • Misrepresent your identity or authority;
  • Interfere with our systems;
  • Scrape or extract protected content in violation of law or these Terms;
  • Resell access to our Services without authorization; or
  • Use our Services for unlawful unsolicited communications.

25. PROFESSIONAL COMPLIANCE

Customers who are real estate professionals, lenders, attorneys, financial professionals, or members of another regulated profession remain responsible for complying with laws, regulations, licensing rules, advertising requirements, brokerage requirements, ethics rules, disclosure requirements, and employer policies applicable to them.

The White Ribbon does not provide legal, real-estate, financial, tax, brokerage, or compliance advice through its marketing products.

26. EDUCATIONAL AND MARKETING INFORMATION

Guides, checklists, market materials, templates, and similar content are provided for general informational and marketing purposes.

Information may need to be customized for a customer's location, brokerage, market, transaction, or professional requirements.

Customers are responsible for reviewing customized professional materials before distributing them.

27. NO GUARANTEE OF RESULTS

We do not guarantee any particular marketing, financial, real-estate, lead-generation, referral, conversion, retention, or business result from using The White Ribbon.

28. AVAILABILITY OF SERVICES

We may modify, suspend, discontinue, replace, or update portions of our Services.

We do not guarantee uninterrupted or error-free access to the website, accounts, integrations, CRM features, or other technology.

29. ACCOUNT SUSPENSION OR TERMINATION

We may restrict or terminate access to Services when reasonably necessary because of fraud, abuse, security threats, nonpayment, unlawful conduct, infringement, repeated violations, or material breach of these Terms.

30. PRIVACY

Use of personal information through our Services is governed by our Privacy Policy.

Because The White Ribbon may eventually process CRM imports and recipient information, customers should review both these Terms and the Privacy Policy before uploading client information.

Shopify itself advises merchants that privacy policies should explain how personal information is collected, used, disclosed, managed, and protected.

31. CONFIDENTIALITY

To the extent The White Ribbon receives non-public customer information in connection with providing the Services, we will use reasonable measures to protect such information consistent with our Privacy Policy, contractual obligations, and applicable law.

Nothing in this provision prevents disclosures required by law, necessary to provide the Services through authorized service providers, or otherwise permitted by our Privacy Policy.

32. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT FOR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED.

WE DISCLAIM IMPLIED WARRANTIES TO THE EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.

33. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HITE ELITE INC. D/B/A THE WHITE RIBBON AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PARTICULAR ORDER OR CLAIM WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO THE WHITE RIBBON FOR THE PRODUCT OR SERVICE GIVING RISE TO THAT CLAIM.

These limitations do not apply where prohibited by law.

34. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Hite Elite Inc. d/b/a The White Ribbon and its officers, employees, contractors, and agents from third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from your:

  • Material breach of these Terms;
  • Unlawful use of the Services;
  • Customer-provided content;
  • Infringement of third-party intellectual-property rights;
  • Unauthorized provision of personal information; or
  • Violation of applicable law or third-party rights.

35. FORCE MAJEURE

The White Ribbon will not be responsible for failure or delay caused by events beyond our reasonable control, including natural disasters, severe weather, carrier interruptions, labor disruptions, supplier failures, governmental actions, epidemics, utility failures, internet outages, or other comparable events.

36. GOVERNING LAW

These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except where another jurisdiction's mandatory consumer laws apply.

37. DISPUTES

Before initiating formal proceedings, you agree to contact The White Ribbon and make a good-faith effort to resolve the dispute informally.

I would have a North Carolina attorney draft this section before adding mandatory arbitration, a jury-trial waiver, class-action waiver, or mandatory venue clause. Those provisions can have significant enforceability and consumer-law consequences, so I would not casually paste boilerplate language into your store.

38. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

39. NO WAIVER

Failure to enforce any provision of these Terms does not waive our right to enforce that provision or another provision later.

40. ASSIGNMENT

Customers may not assign their rights or obligations under these Terms without our prior written consent where such restriction is permitted by law.

The White Ribbon may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other lawful business transaction.

41. CHANGES TO THESE TERMS

We may update these Terms periodically.

The updated Terms will be posted on our website with a revised “Last Updated” date.

Where required by law, we will provide additional notice or obtain consent before material changes become effective.

42. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Return & Refund Policy, Shipping Policy, and any additional terms presented for particular products or services, constitute the agreement governing use of the applicable Services.
